Cyndee Donaldson Clancy is a paralegal in the firm’s Business Transactions Group.  She has been with the firm since 1983 supporting the firm’s business section on a wide range of corporate matters from general corporate filings and maintenance to complex financing transactions, mergers and acquisitions, UCC compliance, public records research and analysis, tax-exempt organizations and other business licensing and regulatory matters.

Cyndee’s experience includes incorporation, amendment, merger, dissolution and foreign qualification procedures; preparation and filing of annual reports and state and federal tax forms; due diligence, document preparation and closing functions for acquisition, financing, and other transactions; extensive research and preparation of Uniform Commercial Code financing statements and management of filing records and renewal calendar; document and information research, analysis and retrieval from governmental agencies; preparation and submission of federal tax-exempt applications for nonprofit organizations; insurance company formation, qualification and compliance; maintenance of firm-wide securities calendar and corporate database; administration of the firm’s audit response procedures; administration of the firm’s statutory agent representations for clients; preparation and filing of judgment renewals and management of firm judgment docket for Arizona; blue sky research; securities filings; and Hart-Scott-Rodino premerger notification filings.

In the area of insurance, Cyndee has assisted firm lawyers in the representation of a subsidiary of a major national life insurance company, both in compliance matters with the Arizona Department of Insurance and Financial Institutions and in qualifying the Arizona subsidiary in 42 jurisdictions.  She has also been involved in forming and dissolving Arizona insurers and facilitating periodic financial examinations of firm insurance clients by the Arizona Department.  Additionally, Cyndee assisted the firm’s municipal finance lawyers in the administration of duties involved in the firm representation of The Industrial Development Authority of the City of Phoenix, Arizona (the “Authority”), including attending meetings, ensuring compliance with Arizona’s Open Meeting Law, drafting documents and closing certificates, analyzing applications, interfacing with Board members and City Staff, and assisting lawyers in serving as a liaison between Applicants and the Authority.  Cyndee worked with the Authority in connection with the firm’s role as Issuer Counsel from 1988 to 1998.  She has also provided legal assistance to the firm’s municipal finance lawyers in the roles of bond counsel and underwriter counsel.
