David M. Bixby

David Bixby is a partner in the firm's Business Transactions Practice Group. David draws on a wealth of experience in corporate, regulatory, and transactional legal work to provide health care organizations with strategic and legal guidance. He counsels clients in matters ranging from mergers and acquisitions, joint ventures and affiliations, finance, corporate governance, physician and network arrangements, tax-exempt status, corporate compliance, and Stark and anti-kickback matters.

As Banner Health’s Chief Legal Officer for nearly 25 years, David oversaw Banner’s legal affairs as it grew to a $12 billion multi-state integrated healthcare system. As a member of Banner’s senior leadership team, he played an active role in strategic and policy decision making, advising the Board of Directors, and implementing Banner’s growth and vertical integration.

Outside of work, David is a competitive cyclist and, when not riding or racing his bicycle, enjoys fly fishing, travel and wine.

Representative Matters

• Oversaw legal affairs for Banner Health (32 hospitals, 53,000 employees, 2,400 employed physicians and advance practice providers, Medicare Advantage health plans, an AHCCCS Medicaid plan).
• Representation in several joint ventures, including a commercial health insurance joint venture, a multi-state ambulatory surgery center company and a clinical laboratory joint venture.
• Structured and managed multiple acquisition and merger transactions, including hospitals and hospital systems, free-standing imaging centers, physician practices and other businesses.
• Oversaw establishment of major long-term primary academic affiliation relationship with two medical schools.
• Provided oversight of company defense and resolution of government investigations and False Claims Act/Qui Tam lawsuits, and class actions involving tax-exempt status and a cybersecurity breach.
• Representation in multiple large and complex tax-exempt, taxable and asset-based financings, and successful restructuring of outstanding indebtedness through market disruptions of 2008 and 2020.
