  • Serve as General Counsel to an art museum. Additional representation in cases involving general contract, labor and employment, corporate, tax exempt bonds, endowment fund, new construction and intellectual property cases ; currently representation for a major expansion financing and certain related corporate amendments.
  • Considerable experience in representing non-profit organizations that have had difficulty in obtaining tax exemptions for real property taxes. For example, in Volunteer Center of S. Ariz. v. Staples, 214 Ariz. 36, 147 P.3d 1052 (Ct. App. 2006), the county assessor denied a tax exemption for property owned by a non-profit organization. The county assessor said that the property did not qualify because it was leased to another non-profit. The Court of Appeals held that the property was exempt even though it was leased to another non-profit.
  • Previous representation of a non-profit for two years, providing daily labor and employment advice. Provided Management and employee training on sexual harassment and discrimination to non-profit employees.
  • Previous representation of an affordable housing non-profit in an administrative proceeding.
  • Extensive experience providing employment and general litigation advice with respect to private nonprofit schools and churches and have performed services for the public school system as well. This experience includes, without limitation, employment contract disputes, Title VII matters, 1983 claims and negligent hiring/retention claims.
  • Previous representation of nonprofits including applying for 501(c)(3) status.
  • Represented non-profits with corporate formation/structure and real estate issues
  • Representation of 4-5 non-profit entities on a variety of issue including corporate formation, contract negotiations, claims for damages, defense of claims, etc.
  • Sale and acquisition of various blood banks on behalf of the second largest nonprofit blood bank organization in the United States. Transactions have ranged from $1 million to $3.5 million.
  • Represented a nonprofit entity in the acquisition of technology and operating assets related to the Jarvik 7 artificial heart (now known as the CardioWest Total Artificial Heart) and the later sale of the technology and other assets to CynCardia Systems, Inc.
  • Represented a nonprofit organ transplant organization in the sale of Arizona and Nevada-based histocompatibility laboratory assets.
  • Serve as general counsel to a medical center, we represented our client in its initial “spin-off” of the medical center from its parent organization and the acquisition of a general hospital from a healthcare organization as well as various other contractual and regulatory matters.
  • Lewis and Roca has numerous attorneys who serve as board members of various non profit charities and organizations and have provided legal advice as appropriate to those charities and organizations.
