Nina Ward is a lawyer in the firm’s Business Transactions Practice Group.  Nina represents businesses and individuals across industries including aviation and aerospace, real estate, banking, financial services, research and development, manufacturing, technology, defense, and energy.  Nina represents clients in a broad array of transactional matters, including secured and unsecured financings, strategic sales and acquisitions as well as general commercial matters. Clients rely on Nina Ward for her practical and informed advice and ability to draft and negotiate complex commercial transactions such as debt and equity financings, real estate transactions, long-term sale and distribution agreements, government contract formation and administration, intellectual property licensing and protection, and cross-border finance.

Throughout her legal career, Nina has developed a reputation for efficiently and carefully planning and closing transactions to allow clients to succeed in fulfilling their business goals while protecting their interests.  Nina often acts as trusted outside general counsel to clients on a range of commercial contracts and corporate and entity issues.  Clients appreciate her attention to detail, collaborative style, and dedication.

Originally from Vermont, Nina has made Colorado her home for the past 20 years and enjoys the outdoors by hiking, gardening, and camping with her family.

Representative Matters

  • Sale of an EU-based airline conducting cargo operations and unscheduled passenger flights. The transaction involved complex legal, tax, operational, regulatory, and due-diligence issues across nine countries and four continents.
  • Drafting and negotiation of contracts for all aspects of repair station facilities, including maintenance, repair, and overhaul agreements for aircraft components, and exchange, lease, and consignment agreements.
  • Acquisition, leasing, subleasing, sale, and financing of passenger and cargo aircraft in cross-border transactions in North America, Europe, Asia, Africa, and South America. (Nina has experience in rejection and restructures of leases in bankruptcy, repossession of aircraft, and international registry filings for transactions covered by the Cape Town Convention.)
  • Representation of aircraft operator in a financing lease of aircraft imported into the U.S. where the lessee and sub-lessee would change the configuration of the aircraft and put them into operation within the U.S. Nina worked on the contracting, deregistration, registration, and regulatory aspects of the transaction.
  • Representation of aircraft component manufacturer in negotiation of manufacturing, supplier, and subcontractor agreements.
  • Representation of aerospace defense contractor in the negotiation, successful award, and administration of government contracts and subcontracts for the U.S. government’s procurement of goods and services.
